1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and EdIT Solutions Sweden AB, org.nr 559033-6037 ("Company", "we", "us", or "our") governing your access to and use of the Isotrax transport management system ("Service").
By creating an account, subscribing to a plan, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Service Description
Isotrax is a cloud-based transport management system (TMS) that provides tools for managing transport orders, route optimization, fleet tracking, invoicing, and related services. The Service is provided on a subscription basis as described on our Pricing page.
3. Subscription Plans and Pricing
3.1 Available Plans
We offer three subscription tiers:
- Starter – Free plan with limited functionality and a base number of included users
- Pro – Paid monthly subscription with full functionality and a higher base number of included users
- Enterprise – Custom pricing negotiated separately, with options for dedicated support and hosting
All plans allow unlimited users. However, each plan includes a base number of users at no extra cost. Users exceeding the included amount are billed as overage (see section 4.3). Current pricing is detailed on our Pricing page. We reserve the right to modify pricing with 30 days' notice.
3.2 User Categories
Users are categorized as follows, each with their own included quantity per plan:
- Admin users – Full system access and configuration rights
- Backend users – Access to planning, orders, and reporting
- Mobile users (drivers) – Access to the mobile application
- External accesses – Customer/partner portal access
4. Billing and Payment
4.1 Payment Method
By subscribing to any plan (including Starter), you agree to provide a valid payment method (credit card or debit card). You authorize us to charge your payment method for all fees incurred under your subscription.
4.2 Billing Cycle
Subscriptions are billed monthly in advance. The billing cycle begins on the day you subscribe and renews automatically on the same day each month.
4.3 User Count Measurement and Overage Billing
- We measure the number of active users in each category daily
- At the end of each billing period, we determine the maximum number of users recorded in each category during that period
- If this maximum exceeds your plan's included users, overage fees apply
- Overage fees are charged on the following month's invoice
For example: If your plan includes 4 drivers but you had 7 drivers active on the busiest day of the month, you will be charged overage for 3 additional mobile users on your next invoice.
4.4 Currency
Prices are displayed in your selected currency. All charges will be processed in the currency shown at checkout. Currency conversion fees, if any, are the responsibility of the customer.
4.5 Failed Payments
If a payment fails, we will attempt to charge your payment method again. If payment cannot be collected within 7 days, we reserve the right to suspend your access to the Service until payment is received.
4.6 Taxes
All prices are exclusive of applicable taxes (including VAT) unless otherwise stated. You are responsible for paying all taxes associated with your subscription.
4.7 Payment Processing
Paddle handles all payment processing, invoicing, VAT/sales tax collection, and refunds on our behalf. By making a purchase, you also agree to Paddle's Terms of Service.
5. Support Services
5.1 Bug Fixes
All subscription plans include bug fixes at no additional cost. If you encounter a defect in the Service that prevents normal operation, we will work to resolve it as part of your subscription.
5.2 Paid Support
Support is billed per commenced hour. Current rates are listed on our Pricing page. We will inform you before performing any billable support work and provide an estimate where possible.
6. Subscription Management
6.1 Upgrades
You may upgrade your subscription at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of your billing cycle.
6.2 Downgrades
You may downgrade your subscription at any time. Downgrades take effect at the start of your next billing cycle. No refunds are provided for the current billing period.
6.3 Cancellation
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until then.
6.4 Refund Policy
After the initial 30-day period, no refunds will be issued for partial billing periods or unused time. Subscription renewals may be refunded if requested within 14 days of the renewal date, subject to review.
All refund requests are processed by Paddle.com Market Limited as our Merchant of Record. Refunds are typically processed within 5–10 business days.
6.5 Data After Cancellation
Upon cancellation, your data will be retained for 30 days, during which you may export your data or reactivate your subscription. After 30 days, your data may be permanently deleted.
6.6 Inactive Accounts
If your account shows no login activity for a continuous period of 90 days, we will send a warning notification to the subscription owner's registered email address. You will then have 30 days to log in and confirm that you wish to keep the account active.
If no action is taken within the 30-day warning period, we reserve the right to terminate the account and permanently delete all associated data. This applies to all subscription plans, including Starter.
Additionally, if no valid payment card is on file, your account may be subject to immediate suspension regardless of activity level (see section 4.1).
7. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Share your account credentials with unauthorized parties
- Resell or redistribute the Service without our written consent
- Use the Service in a way that could damage, disable, or impair the Service
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.
You retain ownership of all data you submit to the Service. You grant us a limited license to use this data solely for the purpose of providing the Service to you.
8.1 Backups
While we take reasonable measures to protect your data, we recommend that you maintain your own backups of critical business data. You can export your data at any time through the Service.
In the event of data loss due to factors within our control, we will make reasonable efforts to restore data from the most recent available backup. We are not liable for any data loss beyond our standard backup retention period.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice when possible)
- Emergency maintenance or security updates
- Factors beyond our reasonable control
Enterprise customers may be eligible for Service Level Agreements (SLAs) with uptime guarantees. Contact us for details.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
11. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect.
Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing Law and Disputes
These Terms are governed by the laws of Sweden. Any disputes shall be resolved by the Swedish courts, with the District Court of Stockholm as the court of first instance.
13. Complaints
If you are dissatisfied with the Service or have a complaint, please contact us at [email protected]. We aim to acknowledge all complaints within 2 business days and to provide a resolution within 10 business days.
If your complaint is not resolved to your satisfaction, you may refer the matter to:
